Use of proceeds 

The funds raised during the bond issue will be used to finance the expansion and working capital needs as well as operational expenses of Noviti Finance. This is the second tranche of the € 5 M bond programme. The first tranche of € 2 M was issued on February 18th, 2025. The ISIN code of the bond issuance is ISIN LT0000137168. 

Operating since 2016, Noviti Finance is one of the most active business lenders in the region, managing a loan portfolio across Lithuania, Latvia, and Poland. Over the years, the company has issued more than € 125 M in loans. 

Currently, the total loan portfolio managed by Noviti Finance amounts to € 27.7 M. The loan portfolio in Lithuania stands at € 15.2 M, part of which will be pledged to BeMyBond bondholders. 

Since the start of its operations, the company has demonstrated consistent growth. Between 2023 and 2025, the loan portfolio grew by an average of 12% per year, while revenues increased by an average of 23% annually. 

The company has attracted investments from institutional investors such as the European Investment Fund (EIF), the European Bank for Reconstruction and Development (EBRD), the Council of Europe Development Bank (CEB), and Lithuania’s National Development Bank (ILTE). This provides additional confidence to investors, as these institutions conduct thorough financial and legal due diligence before investing. 

The bonds will be secured by a first-ranking pledge of the loan portfolio. The majority of Noviti Finance’s loan portfolio in Lithuania is secured by EIF or ILTE guarantees, significantly reducing the portfolio’s credit risk. No less than 80% of the pledged loan portfolio will have guarantees from either EIF or ILTE. 

It is anticipated that, upon maturity, the bonds will be redeemed using the funds from institutional investors or through refinancing. As an alternative, the bonds may be redeemed using cash flows generated from the amortisation of the loan portfolio. Given that the issuer’s loan portfolio consists primarily of short-term loans, the issuer has the flexibility to adjust new lending volumes and, if necessary, temporarily limit new investments in order to ensure the timely redemption of the bonds. 


Project structure 

The project owner (issuer) – UAB Noviti finance 1 – is a wholly owned subsidiary of a business loans provider UAB Noviti, operating under the brand name Noviti Finance. At the UAB Noviti level, € 4.2 M of equity consists of shareholders’ equity, retained earnings, as well as subordinated loans provided by the shareholders and an institutional investor EIF. 

The loan-to-value (LTV) ratio of the issued bonds relative to the pledged collateral will not exceed 80%. Up to 80% of the pledged loan portfolio is covered by the guarantees from ILTE or EIF.

The project owner is UAB Noviti finance 1, which belongs to the business lending company UAB Noviti, operating under the brand name Noviti Finance, providing loans to SMEs in Lithuania, Latvia, and Poland. Since the start of its operations, the company has issued more than € 125 M in loans. The company is led by its long-standing CEO, Linas Armalys. 

Between 2023 and 2025, the loan portfolio grew by an average of 12% per year, while revenues increased by an average of 23% annually. In 2025, the average new loan amount was € 23 100. The maximum loan maturity is 36 months, and the average remaining maturity of loans in the portfolio is 19 months. 

In 2025, the group’s revenue amounted to € 4.7 M, and total assets reached EUR € 27.4 M. It is projected that in 2026 the group’s revenue will increase to € 5.2 M, with the loan portfolio expected to grow by 18.3%.
